Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "Institution") and Acadrix ("Company", "we", "us"). By creating an account, starting a trial, or paying for any plan, you confirm you have authority to bind your institution to these Terms.

You must provide accurate, complete, and current registration information. You are responsible for safeguarding your password and for all activity under your account. You must notify us immediately at support@acadrix.cloud of any unauthorized access. We reserve the right to disable accounts at any time for violations of these Terms.

Trial Period: All plans include a 14-day free trial with full feature access. No credit card required for trial.

Payment: Subscriptions are billed in advance. Monthly plans are billed each month; annual plans are billed yearly.

Price Changes: We will notify you 30 days in advance of any price increases.

Refunds: Monthly plans: no refunds for partial months. Annual plans: pro-rated refund within 30 days of purchase.

Taxes: Prices exclude applicable taxes, which are your responsibility.

You agree NOT to: (a) violate any laws or regulations; (b) upload malicious code or attempt to breach security; (c) scrape or systematically collect data without permission; (d) use the platform to store or distribute illegal content; (e) impersonate any person or organization; (f) attempt to reverse-engineer or copy the platform; (g) use automated bots to access the service in ways that impair performance.

Our IP: Acadrix, its software, design, trademarks, and content are owned by us and protected by copyright, trademark, and other laws. These Terms do not grant you any rights to our IP except the limited license to use the platform as described.

Your Data: You retain full ownership of all data you input into Acadrix. You grant us a limited license to process, store, and display your data solely to provide the service.

Your use of Acadrix is governed by our Privacy Policy, which is incorporated into these Terms. You are responsible for ensuring you have the legal right to input all data into the platform, including obtaining appropriate consent from students, parents, and staff.

We target 99.9% uptime and maintain a Service Level Agreement (SLA) for paid plans. Planned maintenance will be communicated 48 hours in advance and scheduled outside peak hours. In the event of service failure, your sole remedy is credit for downtime exceeding the SLA threshold, calculated as follows:

• 99.0–99.9% uptime: 5% monthly credit

• 95.0–99.0% uptime: 10% monthly credit

• Below 95%: 25% monthly credit

Either party may terminate at any time with 30 days notice. We may terminate immediately for material breach of these Terms, non-payment, or actions that harm the platform or other users. Upon termination, you have 30 days to export your data before it is permanently deleted. We retain financial records as required by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Acadrix SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS.

These Terms are governed by the laws of the jurisdiction in which Acadrix is incorporated, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration, except for injunctive relief claims. The parties waive their right to a jury trial.
